1. Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of https://nextgencompounds.com (the "Site"), operated by Next Generation Compounds LLC ("we," "us," or "our"), and your purchase of any products. By accessing the Site or placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Site.

2. Age and eligibility

The Site and the products offered on it are restricted to individuals who are 21 years of age or older. By accessing or using the Site, you represent and warrant that you are at least 21 years old. Any purchase or attempted purchase by a person under 21 years of age is a material breach of these Terms.

3. Research-use limitation

All products sold by Next Generation Compounds LLC are intended solely for in vitro laboratory research purposes. The products are not intended for human or veterinary diagnostic or therapeutic use, and are not drugs, foods, cosmetics, or dietary supplements. You assume all liability and responsibility for any use of the products outside of their stated research purpose.

4. FDA and regulatory disclaimer

The products and any statements concerning them have not been evaluated by the U.S. Food and Drug Administration. The products are not intended to diagnose, treat, cure, or prevent any disease. Next Generation Compounds LLC makes no medical or health claims regarding any product. Next Generation Compounds LLC is not a compounding pharmacy or chemical compounding facility as defined under Section 503A of the Federal Food, Drug, and Cosmetic Act.

5. Buyer representations and assumption of risk

By placing an order, you represent, warrant, and agree that:

• You are a qualified researcher or institution acquiring the products solely for lawful in vitro research.
• You will not use, resell, or distribute the products for human or veterinary consumption or for any therapeutic, diagnostic, or clinical purpose.
• You assume all risk and liability arising from your handling, storage, and use of the products.
• You are responsible for compliance with all applicable federal, state, and local laws and institutional protocols governing your use of the products.

You acknowledge that the products are potent research chemicals and that you knowingly assume all risks associated with their acquisition, handling, and use.

6. Prohibited uses

• Resale or distribution of any product for human or veterinary therapeutic, diagnostic, or consumption purposes
• Use of the Site or products by any individual under 21 years of age
• Any use that violates applicable federal, state, or local law
• Misrepresenting your identity, age, or research qualifications

7. Indemnification

You agree to indemnify, defend, and hold harmless Next Generation Compounds LLC and its officers, members, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees) arising out of or related to: (a) your use of the products outside their stated in vitro research purpose, including any human or veterinary use; (b) your breach of these Terms; or (c) your violation of any applicable law or the rights of any third party.

8. Limitation of liability

To the maximum extent permitted by law, the total liability of Next Generation Compounds LLC arising out of or relating to any product or these Terms shall not exceed the amount you paid for the product giving rise to the claim in the twelve (12) months preceding the claim. To the maximum extent permitted by law, Next Generation Compounds LLC shall not be liable for any consequential, incidental, special, exemplary, or punitive damages, even if advised of the possibility of such damages.

Except as required by applicable law, the products are provided "as is" and "as available" without warranties of any kind, whether express or implied, including the implied warranties of merchantability and fitness for a particular purpose.

9. Governing law, arbitration, and class-action waiver

These Terms are governed by the laws of the State of New Mexico, without regard to its conflict-of-laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the products shall be resolved by binding arbitration on an individual basis, rather than in court, except that you may assert qualifying claims in small claims court. The arbitration shall take place in New Mexico, and judgment on the award may be entered in any court of competent jurisdiction.

To the maximum extent permitted by law, you and Next Generation Compounds LLC agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. This arbitration and class-action-waiver provision is enforceable only to the extent permitted under applicable New Mexico and federal law.

10. Refunds and returns

Eligible returns may be requested within 30 days of delivery, subject to our Refund Policy. Opened or used items and certain products may be non-returnable. Please review our Refund Policy for complete details.

11. Order acceptance, pricing, and cancellation

All orders are subject to acceptance by us. We reserve the right to refuse or cancel any order at our sole discretion, including orders that appear to violate these Terms or applicable law, and to correct pricing or product-description errors. If we cancel an order after payment, we will issue a refund for the cancelled items.

12. Intellectual property

All content on the Site, including text, graphics, logos, and images, is the property of Next Generation Compounds LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce or use it without our prior written permission.

13. Modifications to these terms

We reserve the right to amend these Terms at any time, with notice posted on the Site. Your continued use of the Site after any changes constitutes acceptance of the updated Terms.

14. General

• Severability: If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
• Entire agreement: These Terms, together with our Privacy Policy and other posted policies, constitute the entire agreement between you and us.
• No waiver: Our failure to enforce any provision is not a waiver of that provision.
• Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
